Banking panel clears way for $30M loan to Northern Beef

(Source: The Daily Republic) PIERRE — The South Dakota Banking Commission decided Tuesday that a small group of secret investors doesn’t need a state lending license to make a short-term $30 million construction loan to Northern Beef Packers to complete and start operating a new plant at Aberdeen.

The loan was described during the 15-minute hearing as the last major piece in reviving the stalled project, which is a key component in Gov. Mike Rounds’ South Dakota Certified program for raising, butchering and marketing quality beef that can be specifically tracked from the pasture to the feed lot to the table.

The Northern Beef project began in 2005. The empty building, started by Aberdeen livestock marketer Dennis Hellwig, now has many liens and other claims against it. Hellwig and the original investors have been unable to attract enough conventional financing to get the plant finished and open. The hearing Tuesday provided additional insight into who’s providing the $30 million loan, which is due in 2013 or sooner. An affidavit filed for Wai Yee Christine Ma, a resident of Hong Kong, China, outlined the financial chain. She is a director of Anvil Asia Partners, a Cayman Islandsincorporated company. Anvil Asia manages Pine Street Special Opportunity Fund I, also incorporated in the Cayman Island. The actual lender of the $30 million is Epoch Star Limited, a special purpose entity incorporated in the British Virgin Islands and wholly owned by Pine Street. She said Pine Street has less than 10 investors; and none of Anvil, Pine Street or Epoch is a related party to Northern Beef, or is a bank, or is regularly engaged in the business of lending money.

In her affidavit, she said her understanding is that Asian investors participating through the U.S. government’s EB-5 program provided part of the original funding for the project. EB-5 visas are available to foreign nationals who invest $500,000 in certain types of projects. “It is further my understanding that for many reasons construction of the plant has stopped, the project is a financial failure, the benefits and status of the original EB-5 investors is in some jeopardy, many liens have been filed on the project and NBP does not have the financial wherewithal to complete the project, absent a multiplicity of financial arrangements of which Epoch’s participation is part. “It is my further understanding that a second ‘wave’ of EB-5 investors has been obtained, and a number of other incentives and financial vehicles have been assembled, some involving the state of South Dakota,” she continued. “In any event, none of these financial sources provides the necessary funding to complete construction of NBP’s plant and to get it operational. It is estimated that approximately $30 million will be needed for that purpose.” She said Epoch was formed solely as “an ad hoc and diverse structure” for making the $30 million loan. That, combined with the urgency of Northern Beef’s needs and “apparent inability” to find traditional financing, would “as a practical matter end” the hopes of Northern Beef and the EB-5 investors’ group to complete the project if Epoch was required to go through a state licensing process, she said. Sioux Falls lawyer Steve Sanford represented Epoch before the Banking Commission. He explained that Epoch sought the declaratory ruling because the participants wanted assurance that a state lending license wasn’t necessary. The request for a declaratory ruling from the commission was received June 11 by the state Division of Banking. Asked why a decision by division director Roger Novotny wasn’t sufficient, Sanford replied: “Because so much was at stake.” He said the commission has clear authority under state law that supersedes the director’s power to make administrative decisions. “I don’t think I’m paranoid. In this instance, I’m trying to be extremely careful,” Sanford said. Aberdeen lawyer Rory King represented Northern Beef at the hearing. “This is the last condition of an imposing checklist to be fulfilled,” he told the commissioners. He said nearly all lien-holders have consented to payment-schedule agreements.

The Rounds administration was represented by one of the governor’s Cabinet members, Secretary of Tourism and State Development Richard Benda. “We look forward to a favorable decision today so we can move the project forward,” he testified. The commission’s vote was 4-0 finding that a state license was unnecessary. “That’s as firm as we can get, Steve,” Commissioner John Lillibridge of Burke said.

Replied Sanford, “I think we need to be grateful we live in a state where we can get this kind of thing done with dispatch.”

Changes to the Canadian Federal Immigrant Investor Program will Bring More Chinese Investors to EB-5 Regional Center Projects

Canada’s Immigrant Investor Program (IIP) attracts experienced business people who bring significant economic benefits to Canada. Citizenship and Immigration Canada (CIC) is proposing changes to the program that will be implemented in this fall. These proposed regulatory changes would require new investors to have a personal net worth of CAN$1.6 million, up from $800,000, and make an investment of $800,000, up from $400,000. Under Canada’s current criteria, the volume of applications submitted under the IIP has grown exponentially in recently years. As a result, the CIC will temporarily not accepting new applications until the changes are finalized. Flats East Bank project receives $20 million from foreign investors

CLEVELAND -- Wealthy foreign investors have committed $20 million to the Flats East Bank project, motivated by the promise of profits and permanent residency in America. Eddy Zai, an international business consultant in Pepper Pike, is using a little-known immigration program to attract the investment, considered a key to restarting the long-awaited, $275 million plan to bring an office tower, boutique hotel and retail to the east bank. Zai aims to draw an additional $20 million for the project over the next six months. Twenty would-be Chinese immigrants committed to investing $10 million and creating 200 jobs in Idaho. The $10 million is just part of $60 million the Idaho State Regional Center and its Chinese partner Westlink have lined up from as many as 120 investors who want to bring their families to the U.S. and invest in Idaho. The announcement by Idaho Department of Commerce officials capped a successful week of meetings between Gov. Butch Otter, Chinese officials, investors and Idaho companies. "It met and exceeded our expectations," said Don Dietrich, director of the Idaho Department of Commerce.  Since Otter touched down in Shanghai a week ago, the Regional Center and its Chinese partners have been conducting a series of seminars across China seeking Chinese willing to invest at least $500,000 in Idaho in exchange for a green card for them and their families. Under the federal EB-5 immigration program, the Regional Center must be able to create 10 jobs over two years for each investment, which it plans to do by investing in an existing gold mine near Placerville in the Boise Basin near Idaho City. For a week, 250 immigrant consultants and thousands of their employees have spread out across China extolling the virtues of the investment, including an insurance plan that can protect it.  Otter spoke at several seminars, including one Friday urging Chinese investment in Idaho. It will be weeks before the Regional Center has all of its investors in place - but its weeklong efforts paid off.

Statesman to open office in China, seek investors for Brinnon resort

The Statesman Group of Companies is looking to wealthy investors in China and an increasingly popular immigration program to help finance its $300 million Pleasant Harbor Marina and Golf Resort in Brinnon. M. Garth Mann, president and CEO of Statesman Group, believes the project could create “hundreds, if not thousands” of jobs over the life of the resort, which he would like to see started in 2011.
Proposed on 256 acres at Black Point are an 18-hole golf course, hotel and conference center and up to 890 residential units. Proponents say it would be a boon to the rural and economically depressed South County; opponents argue the project is too large and would change the character of the area.

Immigration approach
Mann has requested help designating Jefferson County and part of Mason County as a “regional center” under a federal immigration program called an EB-5 visa program. It connects “high net-worth” foreigners with projects in areas of high unemployment in exchange for possible citizenship status.
If created, the center, under the auspices of the United States Citizenship and Immigration Services, would be the first rural regional center in the state and the only one on the Olympic Peninsula.
Statesman also is in the process of setting up an office in Beijing to help find those investors.
To qualify as a regional center, Mann is seeking the help of various state agencies.
The state Employment Security Department certifies areas as having high unemployment. Brinnon has an unemployment rate of 15.5 percent, according to state employment officials.
Employment Security spokesman Jamie Swift said Statesman has not formally asked to validate Brinnon’s unemployment rate, although they have communicated informally.
“Based on the estimated annual average unemployment rate for 2009, the Brinnon area has an unemployment rate of 15.5 percent, which is 150 percent of the national average,” Swift said. The 150-percent threshold would qualify Brinnon for the EB-5 designation, which has grown popular as bank lending has tightened.
In 2009, the state provided labor market information for three EB-5 requests. This year so far, the state has had 11 requests for information, Swift said.
“We’re looking for investors and also the opportunity to create employment in the area,” Mann said Monday from Statesman’s Canadian headquarters in Calgary.

No bank loans
Like other companies in Washington and around the United States, Mann said he is looking outside the country for funding because banks are no longer lending for projects such as his.
“Where do you get financing today? Look around your backyard. There’s no money left. Where else can you get money?” Mann asked Monday.
“If you look at the economies around the world that are doing well, which countries are those? It’s China, for sure. India is plus 8 percent. Brazil is plus 5 percent. Canada and Australia are growing. But the rest of the world isn’t doing well,” he said.
The EB-5 proposal for Brinnon would be a first for the company and the Olympic Peninsula, Mann said.
“The United States is in dire need of employment,” Mann said. “I think it’s an ingenious program if you think about it. The country could use some immigration of people who are coming in to contribute and provide financing and provide jobs and interest in the community.”
Mann was quick to point out that in Arizona, where Statesman has its U.S. headquarters, residents are protesting that poor immigrants from Mexico are costing taxpayers when they use schools, roads, facilities and services. That state’s controversial response was a new law allowing police to ask anyone for documents to prove he or she is legally in the state.

$500,000 to $1 million
Conversely, the EB-5 immigration program is aimed at attracting wealthy investors who can pay up to $500,000 or even $1 million to invest in an area in exchange for visas. The immigrants Mann wants to attract must prove to U.S. immigration authorities they have the means not only to live in the United States but also to invest in businesses like the Brinnon resort, which in turn would create jobs.
Mann said he does not envision those investors would live in Brinnon.
“We envision a lot of them being students,” Mann said.
He noted that China has had a one-child-per-family policy and he expects that he will be looking to attract wealthy people who would want a child to attend universities in Washington.
“The applicants are all individuals. Whether they come from China or India, no one knows,” he said.
“The mandate is for everyone who qualifies under EB-5, we would be required to create eight to 10 jobs. We’re not bringing over people to seek employment. They would be interested in investing,” Mann said.

Other regional centers
The U.S. Citizenship and Immigration Service (USCIS) has final say over whether a “regional center” is created.
Regional centers in Washington have been set up by American Life, Inc. in Lakewood to support a variety of industries from warehouses to hotels. Centers also have been established in Renton, Everett, Federal Way, Tacoma and  Bellingham.
 “It’s one of the few rural areas that have been applied through the program so this is certainly unique from that perspective,” Mann said of his request. He hopes to know by the end of the year if the area can be designated as a regional center.
“I think the whole county could use some help,” Mann said.

Letter of support
Jefferson County Commissioner John Austin, D-Port Ludlow, has written a letter of support for Mann’s proposal.
“Anything we can do to encourage them to continue to move forward on their project I think will help South County,” Austin said Tuesday.
“The analogy that comes to mind is that when Hong Kong was transferred from British to China [control], a lot of folks came to the West Coast of Canada and brought their foreign funding with them and I understand that was a real boon to Canada in particular,” he said.
“It’s very fortunate that the federal government has created this avenue for foreign dollars to come forward to finance local construction,” he added.

Harbourside Place is Florida Regional Center's First EB-5 Project

While the Florida Regional Center has recently announced its plans to expand into Florida's biotech industry, it is still working on the Harbourside Place project in Jupiter, Florida, which promises to help the community and participants in the EB-5 visa program.

For Nicholas Mastroianni and other members of the Florida Regional Center, which is expecting approval from the U.S. Citizenship and Immigration Services this July, forming an EB-5 regional center was a smart call considering the state of the economy.

"With the condition of the market right now, especially in the immediate area surrounding our current target market, we saw the EB-5 Pilot Program as the perfect opportunity to help create jobs, stimulate the economy and bring an influx of business to the local market," he said. "We began analyzing and researching the program to see if it would be a fit for our business in March of 2009."

Despite their close relationship with the Harbourside Jupiter project, the Florida Regional Center, did not come up with the idea for the revitalization of the town's waterfront, which involves a four-star hotel, a parking garage and restaurant, office and retail space. In fact, according to Mastroianni, the project has been in the town's plans for more than a decade. It was originally developed by Allied Capital & Development of South Florida, where Mastroianni is the vice president of planning and operations.

Allied Capital and Development spent the past four years completing the approval and permitting process, and now the Harbourside project is considered "shovel ready."

The EB-5 visa program gives foreign nationals the opportunity to become eligible for U.S. green cards if they invest $1 million in an American business or project and that investment leads to the creation of 10 jobs. Regional centers were created to help manage and direct these investments. Some regional centers, like the Florida Regional Center, are in Targeted Employment Areas (TEAs), and only require a $500,000 investment.

For this project, the Florida Regional Center can place 160 foreign investors, which would raise at least $80 million. The entire cost of the project is $139 million, so not all of the funding is coming from participants in the EB-5 visa program, which makes it unique, according to Mastroianni.

"Unlike other regional center projects around the country that are fully financed by EB-5 funds, Harbourside Place is only raising 57% of the funding from EB-5 investment," he said. "The remainder comes from developer equity, other sources of government funding and tax free municipal bonds."

For promotion of EB5 regional centers in China, you may consider the following possibilities:

   (1)   Forming an Representative Office in China:

  Quite a number of regional centers have actually done so.

    (2)   Sending a representative to China on business promotion trips: 

  Some US companies (including regional centers) do business in China without having an RO in China.  Their personnel may offer services to Chinese clients on their business trips to China and brief stays.  This model does not work well if the company conducts prolonged, regular course of promotional activities in China, as (i) this will have unfavorable Chinese income tax consequences once a “permanent establishment” is deemed to exist in China, and (ii) this may be regarded by the Chinese government as unlicensed conduct of business.  I would not recommend this method if the Regional Center intends to regularly promote opportunities to potential clients in China and its representative will stay in Chinese cities for months on a trip.

   (3)   Forming alliance with China-based entities:

  Some other regional centers have set up alliances with China-based immigration consulting firms or business consultants for promotion of EB5-related services.  In such alliance, regional centers will provide information on EB5 opportunities to their alliance parties in China, which in turn will offer such leads to their local contacts or potential clients.  Regional center representatives will then travel to China and discuss with potential business immigrants who have been sourced by the center’s local partners.
